    📝 Service Level Agreement (SLA) Between: Lean and Local (the “Client”) And: [Restaurant Name] (the “Partner”) Effective Date: [Insert Date]
    1. Purpose
    This SLA outlines the responsibilities, expectations, and terms of engagement between Lean and Local and the Partner restaurant acting as a preparation hub for Lean and Local’s food services.
    1. Scope of Services
    The Partner agrees to:
    • Prepare meals according to Lean and Local’s recipes, portion sizes, and quality standards.
    • Maintain consistent availability and timely preparation as per agreed schedules.
    • Collaborate with Lean and Local’s logistics team for pickup and delivery coordination.
    1. Food Safety & Compliance
    The Partner shall:
    • Adhere strictly to the Ontario Food Premises Regulation (O. Reg. 493/17) under the Health Protection and Promotion Act.
    • Maintain valid food handler certifications for all kitchen staff.
    • Ensure regular sanitation, temperature control, and allergen management protocols.
    • Allow periodic audits by Lean and Local or third-party inspectors.
    1. Payment Terms
    Lean and Local agrees to:
    • Pay the Partner a fixed rate of $[Insert Amount] per meal prepared, or as per the mutually agreed pricing schedule.
    • Issue payments bi-weekly via direct deposit, subject to receipt of accurate invoices.
    • Reimburse for any approved ingredient or packaging costs incurred on behalf of Lean and Local.
    The Partner agrees to:

    • Notify Lean and Local of any pricing changes at least 30 days in advance.
    1. Term & Termination

    • Immediate termination may occur in cases of food safety violations, breach of contract, or reputational harm.
    1. Confidentiality
    Both parties agree to maintain confidentiality of proprietary recipes, customer data, and business practices.
    1. Liability & Insurance
    The Partner shall:
    • Maintain commercial general liability insurance and product liability coverage.
    • Indemnify Lean and Local against claims arising from negligence, contamination, or breach of food safety standards.
    1. Dispute Resolution
    Any disputes shall be resolved through:
    1. Good faith negotiation
    2. Mediation (if needed)
    3. Arbitration under Ontario law
